TERMS & DISCLAIMER

1. ACCEPTANCE OF TERMS

By accessing or using the Klean Sports platform ("Platform"), submitting any content, or creating a profile, you ("User") agree to be bound by these Terms and Disclaimer in full. If you do not agree, you must discontinue use of the Platform immediately.

2. CONTENT SUBMISSION & LICENSE GRANT

By submitting any video clip, image, photograph, highlight reel, or other media content ("Content") to Klean Sports, you irrevocably grant Klean Sports LLC and its affiliates, partners, successors, and assigns a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sublicensable, transferable license to use, host, store, reproduce, modify, adapt, publish, translate, distribute, publicly perform, publicly display, and create derivative works of such Content — in any media format or channel now known or hereafter developed — including but not limited to social media, television, digital advertising, promotional materials, and third-party partnerships.

This license survives the termination of your account or removal of Content from the Platform.

3. OWNERSHIP & REPRESENTATIONS

By submitting Content, you represent and warrant that:

• You own or have obtained all necessary rights, licenses, consents, and permissions to submit the Content and grant Klean Sports the rights described herein.
• The Content does not infringe upon the intellectual property, privacy, publicity, or other rights of any third party.
• If the Content features a minor, you are the parent or legal guardian of that minor and consent on their behalf.
• The Content does not contain material that is defamatory, obscene, unlawful, or otherwise objectionable.

4. COMMERCIAL USE

Klean Sports reserves the right to use submitted Content for commercial purposes, including but not limited to advertising campaigns, sponsorship activations, brand partnerships, and revenue-generating media — without additional compensation to the submitting User unless otherwise agreed to in writing.

5. NO GUARANTEE OF PUBLICATION

Submission of Content does not guarantee publication, feature placement, or distribution on the Platform. Klean Sports reserves the right to reject, remove, or modify any Content at its sole discretion, including Content that violates these Terms or community standards.

6. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Klean Sports LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform or submission of Content. Your sole remedy for dissatisfaction with the Platform is to discontinue use.

7. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Klean Sports LLC and its affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your Content submissions, your use of the Platform, or your violation of these Terms.

8. MODIFICATIONS

Klean Sports reserves the right to update or modify these Terms at any time. Continued use of the Platform following any changes constitutes your acceptance of the revised Terms.

9. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the state and federal courts located in Michigan.

10. DMCA COPYRIGHT TAKEDOWN POLICY

Klean Sports respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content on our Platform infringes your copyright, please send a written notice to our designated DMCA agent containing the following:

• A description of the copyrighted work you claim has been infringed.
• A description of where the allegedly infringing content is located on the Platform (include the URL).
• Your name, address, telephone number, and email address.
• A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law.
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.
• Your electronic or physical signature.

We will respond to valid takedown notices promptly and remove infringing content in accordance with the DMCA. Repeat infringers will have their accounts terminated.
